Company Law
The Companies Act 1993 ("the Act") and the related legislation introduced at the same time significantly modified the governance documentation and statutory context within which companies operate. The Act's default regime that applies, if not modified or negated by an adopted constitution, often delivers unexpected outcomes. Although simple incorporation is readily achievable there will be few cases where situation specific constitutional modifications are not required.
Advising on appropriate corporate structures, governance models and constitutional operating regimes are an important part of our company law practice.
The Act opened Directors up to new responsibilities and potential liabilities. We are able to assist in ensuring that appropriate compliance processes are followed during security and contract implementation.
Shareholder disputes are part and parcel of company life. Strategic advice at an early stage is invariably critical. Knowing your rights and options is imperative. Our commercial partners act for small to large companies on a daily basis. We have close associations with our clients' accountants and take a multi disciplinary approach to corporate advice.
